1.qualifications
(1)foreign investors' qualifications
Any enterprise registered abroad or in Hong Kong, Macao or Taiwan,and any other organization or individuaI from above areas is allowed to set up enterprises in Yingkou Development Zone as long as it abides by foreign investment laws and regulations in China.In a joint venture,foreign investment should account for no less than 25%.
(2)Chinese Investor's Qualification for Joint Venture and Co-operation
All the state-owned,collective,private-owned and other types of enterprises which have registered in China and are qualified can involve in the joint venture and cooperation with foreign investors.
2. Type of enterprises
(1)Wholly foreign-owned enterprises
All the investment comes from foreign enterprises, other economic organization and individuals. And the enterprises are managed by the foreign investors.
(2)Joint Venture
Investment comes from both foreign and Chinese partners according to certain ratio.And the enterprises are managed jointly.
(3)Cooperation
Foreign and Chinese partners set up the enterprises in a cooperative way.
3. Investment means
(I)By currency
Normally,the investment should be in Chinese RMB,in US dollar or other currencies after being exchanged to Chinese RMB.
(2) By tangible capital
Tangible capital can be machine, equipment, transportation vehicles, buildings, land using right and other auxiliary facilities(if investment is state property,the Evaluation Report on State Property should be presented.)
(3)By intangible capital
Intangible capital can be special technology,industrial property (patent and trade mark).
4.Ratio between Investment and Registered Capital
(1)The registered capital should be at least 7/10 of the total investment for joint venture with total investment below US$3million(including US$3 million).
(2)The registered capital should be at least half of the total investment for joint venture with total investment US$3 million to US$10 million(including US$10 million),among which,the registered capital should not be less than US$2.1 million if the total investment is below US$4.2 million.
(3)The registered capital should be at least 2/5 of the total investment for joint venture with total investment US$10 million to US$30 million(including US$30 million), among which,the registered capital should not be less than US$5 million for joint venture with total investment below US$12.5 million.
(4)The registered capital should be at least 1/3 of the total investment for joint venture with total investment over US$30 million,among which,the registered capital should be not less than US$12 million for joint venture with total investment below US$36 million.
